We believe that there is no arbitrary list of requirements for an investible Owner-Managed business or SME. ​These are some of the factors we look for and which specifically catch our interest

Growth Potential
Fundamentally, we seek growing businesses whose main issue is a lack of capital
This may not be your only challenge and we may indeed be able to help with some of your strategic issues, through our experience in helping other companies grow and our extensive networks
Strong Financial Metrics & Cash Flow Generation
We seek businesses which are either profitable or cash generative with an understandable path to profitability. We are not put off if there is a story to unpack and we understand that the path to stable growth is not always straightforward
However you are able to demonstrate it, a track record of strong fundamentals and an efficient use of capital is a strong indicator of investability

We do not require asset-backing, but if available this can help secure better terms and more flexibility
We look for demonstrably strong recurring revenues via either low churn or ideally contracts
Experienced, Capable & Dynamic Management Team
Quality of management is a key area which we examine when assessing a growing business
We consider the way that managers work together and their complementary skills as a fundamental point of our due diligence
The best companies we have worked with have been run by teams with strong motivation to grow, self-awareness, determination and excellent commercial ability
Operational Expertise
We are not operational, hand-on investors but often leverage our extensive networks to help implement a growth plan when needed
Buy-and-Build Opportunities
We specifically seek out firms who can consolidate their markets and / or improve their investment case through targeted acquisitions
We understand the challenges of M&A and successful integration post-acquisition and are able to help as appropriately, either directly or through our network
Ticket Size

We typically make investments of £1 - £25m (or currency equivalent), however we can look selectively beyond this range and are happy to co-invest as part of a larger investment
Transaction Type
We are able to invest across the capital structure, although our starting place tends to be ordinary equity
We look to take some for of minority equity position as part of our typical investment
Active or Observer board seats are not a prerequisite but depend on the final investment structure
Flexible Investment Period
Unlike other growth capital invesotrs, we are not constrained to provide capital over three to five years or to force an exit or value creation within this period
Investment Process and Timeline
We look to move fast whilst carrying out a responsible investment process. Once engaged, we always aim to keep our ask to the minimum necessary and to communicate clearly and transparently throughout
